> Please read these Terms and Conditions carefully before using the Logisticx Exchange platform. By registering for an account, you agree to be bound by these terms. If you do not agree, you must not use the platform.

## 1. About Us


Logisticx Exchange ("LEX", "we", "us", "our") is a UK-based logistics marketplace platform operated by Logisticx Exchange Ltd. Our platform connects shipping and courier companies with independent freelance drivers across the United Kingdom.

## 2. Definitions

| **Company** | A user registered as a Shipping Company who posts jobs |

| **Driver** | A user registered as a Freelance Driver who bids on jobs |

| **Driver Plus** | A user registered as Driver Plus who may both post jobs and bid on jobs |

| **Job** | A delivery or freight task posted by a Company on the Platform |

| **Bid** | An offer submitted by a Driver to carry out a Job at a specified price |

| **Invoice** | An automatically generated financial document created upon job completion |

| **POD** | Proof of Delivery — confirmation that goods have been delivered |

| **Account** | A registered user account on the Platform |

## 3. Eligibility


To use Logisticx Exchange you must:


- Be at least 18 years of age

- Be a business or self-employed individual operating lawfully in the United Kingdom

- Have the legal authority to enter into contracts on behalf of any company you represent

- Provide accurate and complete information when registering


By registering, you confirm that you meet these requirements. We reserve the right to suspend or terminate any account where eligibility requirements are not met.

## 4. Account Registration


### 4.1 Account Types


You must register as one of the following:

**Shipping Company** — to post jobs and manage freight

- **Freelance Driver** — to bid on jobs and manage deliveries

- **Driver Plus** — to both post jobs and bid on other users' jobs


### 4.2 Your Responsibilities


You are responsible for:


- Providing accurate, truthful, and up-to-date information at registration and throughout your use of the Platform

- Keeping your login credentials confidential and not sharing them with anyone

- All activity that occurs under your account

- Completing your profile (address, county, city, postcode, telephone) before accessing the Platform — this is a mandatory requirement


### 4.3 Single Session Policy


Only one active session is permitted per account at a time. Logging in from a new device will immediately invalidate any existing session.


### 4.4 Account Security


You must notify us immediately at legal@logisticxexchange.com if you suspect unauthorised access to your account. We will not be liable for any loss arising from unauthorised use of your account where you have failed to keep your credentials secure.

## 5. The Platform — How It Works


### 5.1 Role of Logisticx Exchange


Logisticx Exchange is a
**marketplace platform only**. We facilitate connections between Companies and Drivers but we are **not a party to any contract** formed between them. We do not employ Drivers, guarantee the quality of work, guarantee payment, or take responsibility for the outcome of any job.


### 5.2 Job Posting (Companies)


Companies may post jobs on the Platform subject to the following:


- Job descriptions must be accurate and must not misrepresent the nature, size, weight, or requirements of the goods being transported

- Companies must have the legal right to arrange transportation of the goods described

- Jobs must not involve the transportation of illegal, prohibited, or dangerous goods (unless appropriate ADR certification and permissions are held by both parties)

- Companies are solely responsible for ensuring goods are properly packaged and ready for collection at the stated time


### 5.3 Bidding (Drivers)


Drivers may bid on available jobs subject to the following:


- Bids represent a binding offer to carry out the job at the stated price if accepted

- Drivers must hold all necessary licences, insurance, and certifications required for the job (including ADR certification where indicated)

- Drivers must have a vehicle suitable for the stated job requirements

- A Driver may not bid on jobs posted by themselves (Driver Plus accounts)


### 5.4 Job Award and Contract Formation


A contract between a Company and a Driver is formed when the Company awards a bid. At the point of award:


- The Driver is obligated to carry out the job as described

- The Company is obligated to pay the agreed bid amount plus any applicable VAT

- All other pending bids on that job are automatically rejected


### 5.5 Job Cancellation


**By the Company (before In Progress):**
A Company may cancel a job before it moves to In Progress status. Any awarded Driver will be notified.


**By the Company (after In Progress):**
A Company may cancel an in-progress job but must pay a cancellation fee. A cancellation invoice will be automatically generated for the agreed amount.


**By the Driver (rejection of award):**
A Driver may reject an awarded job before marking it as In Progress. The job will revert to Bidding status. Repeated rejection of awards may result in account review.


Logisticx Exchange accepts no liability for losses arising from job cancellations between Companies and Drivers.


### 5.6 Proof of Delivery


Drivers are required to record a Proof of Delivery (POD) before completing a job. The POD must be accurate and reflect actual delivery. Falsification of POD records is a serious breach of these Terms and will result in immediate account termination.


### 5.7 Invoicing


Invoices are automatically generated by the Platform upon job completion. Invoice amounts are based on the agreed bid amount. VAT is applied at 20% where the Driver holds a valid VAT registration number. The Platform generates invoice reference numbers (LEX-YYYY-nnnn) sequentially.


Both parties are responsible for maintaining their own financial records. Logisticx Exchange is not a tax adviser and accepts no responsibility for the tax treatment of any transaction.

## 6. Fees and Payment


### 6.1 Platform Access


Access to Logisticx Exchange requires a paid subscription. Subscription fees, billing frequency, and plan details are displayed at the point of registration and within your account settings.





### 6.2 Payment Between Companies and Drivers


Payment for completed jobs is arranged
**directly between the Company and the Driver**. Logisticx Exchange does not process, hold, or guarantee these payments. The Platform provides invoicing tools to facilitate payment but is not responsible for:


- Late payment

- Non-payment

- Disputes over payment amounts


### 6.3 Subscription Cancellation


You may cancel your subscription at any time via the Manage Subscription option in your account profile. Upon cancellation:


- You will retain access to the Platform until the end of your current billing period

- No refunds are issued for partial billing periods

- After the billing period ends, your account will be suspended and you will no longer be able to post jobs, place bids, or access the Platform


### 6.4 Refunds


Subscription fees are non-refundable except where required by law or where we have made a billing error. If you believe you have been charged incorrectly, contact us at info@logisticx.co.uk within 14 days.

## 7. Driver Obligations


Drivers using the Platform confirm that they:


- Hold a valid UK driving licence appropriate for the vehicle they operate

- Hold valid motor insurance covering commercial use and the carriage of goods

- Are registered as self-employed or operating through a legitimate business entity

- Are responsible for their own tax affairs, National Insurance contributions, and any other statutory obligations

- Hold any additional certifications required for specialist loads (e.g. ADR for hazardous materials)

- Will carry out all accepted jobs professionally and to a reasonable standard

- Will communicate promptly with Companies regarding any delays or issues


Logisticx Exchange does not employ Drivers. Nothing in these Terms creates an employment, agency, or partnership relationship between Logisticx Exchange and any Driver.

## 8. Company Obligations


Companies using the Platform confirm that they:


- Have the authority to arrange transportation of the goods they post

- Will provide accurate descriptions of all jobs including correct weight, size, and any specialist requirements

- Will ensure goods are ready for collection at the agreed time and location

- Will pay Drivers promptly in accordance with the agreed invoice amount and payment terms

- Will not attempt to renegotiate prices after a bid has been awarded

- Will treat Drivers professionally and with respect

## 9. Prohibited Conduct


The following are strictly prohibited on the Platform:


- Providing false or misleading information in your profile, job postings, or bids

- Creating multiple accounts

- Attempting to circumvent the Platform to arrange jobs or payments outside of it for the purpose of avoiding Platform fees

- Harassing, threatening, or abusing other users

- Posting jobs involving illegal goods or activities

- Attempting to access, interfere with, or disrupt the Platform or its infrastructure

- Scraping, copying, or reproducing Platform content without written permission

- Impersonating another person or company


Breach of any of these prohibitions may result in immediate account suspension or termination and, where applicable, referral to law enforcement.

## 10. Intellectual Property


All content on the Platform, including but not limited to the software, design, logos, text, and features, is owned by or licensed to Logisticx Exchange Ltd. You may not copy, reproduce, modify, or distribute any part of the Platform without our express written permission.


You retain ownership of any content you submit to the Platform (job descriptions, bid notes, etc.) but grant us a non-exclusive licence to store and display that content for the purpose of operating the Platform.

## 11. Limitation of Liability


To the fullest extent permitted by law:


- Logisticx Exchange is a marketplace only and is not liable for the actions, conduct, or performance of any Company or Driver

- We are not liable for any loss arising from a job cancellation, non-payment, failed delivery, or dispute between a Company and a Driver

- We are not liable for any indirect, consequential, or special losses, including loss of profits or business interruption

- Our total liability to you in connection with the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim


Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

## 12. Indemnity


You agree to indemnify and hold harmless Logisticx Exchange Ltd, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from:


- Your use of the Platform

- Your breach of these Terms

- Any dispute between you and another user

- Any claim by a third party arising from a job carried out through the Platform

## 13. Platform Availability


We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend the Platform temporarily for maintenance, updates, or reasons beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.


We are not liable for any loss arising from Platform downtime or unavailability.

## 14. Termination


### 14.1 By You


You may close your account at any time by contacting us at info@logisticx.co.uk. Closing your account cancels your subscription as of the next billing date (you retain access until then). Financial records (invoices) are retained for 7 years as required by UK law.


### 14.2 By Us


We may suspend or terminate your account immediately if:


- You breach these Terms

- You provide false or fraudulent information

- We are required to do so by law

- We reasonably believe your account poses a risk to the Platform or other users


We will notify you of any termination unless prohibited by law from doing so.

## 15. Dispute Resolution


### 15.1 Between Users


Disputes between Companies and Drivers are the responsibility of those parties to resolve. Logisticx Exchange may provide audit log data to assist in resolving disputes but is not obligated to do so and will not arbitrate or adjudicate disputes.


### 15.2 With Logisticx Exchange


If you have a complaint about the Platform, please contact us first at info@logisticx.co.uk and we will try to resolve it within 14 days.

## 16. Governing Law


These Terms and Conditions are governed by and construed in accordance with the laws of
**England and Wales**. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

## 17. Changes to These Terms


We may update these Terms from time to time. When we do, we will update the "Last updated" date and notify users by email where the changes are material. Your continued use of the Platform after notification constitutes acceptance of the updated Terms.


If you do not agree to the updated Terms, you must stop using the Platform and may close your account.

## 18. Severability


If any provision of these Terms is found to be unenforceable by a court, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

## 19. Entire Agreement


These Terms, together with our Privacy Policy, constitute the entire agreement between you and Logisticx Exchange Ltd regarding your use of the Platform and supersede any prior agreements.
